What is the time limit for lodging Form SH-4 with the company?
Under section 56(1) of the Companies Act, 2013, the instrument of transfer in Form SH-4 — duly stamped, dated and executed by or on behalf of both transferor and transferee — must be delivered to the company within sixty days from the date of execution, along with the share certificate (or the letter of allotment if no certificate exists). An instrument lodged after 60 days is stale and the transfer cannot be registered on it.
How much stamp duty is payable on a share transfer?
Since 1 July 2020, stamp duty on transfer of shares on delivery basis is a uniform 0.015% of the consideration under the amended Indian Stamp Act, 1899 framework (Finance Act, 2019 amendments). The older rate of 25 paise per ₹100 (0.25%) no longer applies. For demat transfers the duty is collected through the depository; for physical SH-4 transfers the duty is paid on the instrument itself.
Does a private company's board have to approve every transfer?
Yes in practice. A private company's articles restrict the transferability of shares (s. 2(68)), so the board considers each lodged SH-4 — typically checking the instrument is complete, stamped and within 60 days, and whether any pre-emption rights in the articles or a shareholders' agreement were honoured — before resolving to register the transfer, endorse the certificate and update the register of members. The board can refuse registration for cause, sending notice of refusal within 30 days (s. 58(1)), and the transferee may appeal to the NCLT.
How soon must the company return the endorsed share certificate?
Under section 56(4)(c), the company must deliver the certificate of transfer within one month from the date of receipt of the instrument of transfer. The endorsement on the reverse of the certificate records the transferee's name, the date and the number of shares, authenticated by an authorised signatory.
