What's the threshold for related-party transaction disclosure?
Under Ind AS 24 / AS 18, all related-party transactions must be disclosed — there is no quantitative threshold. Under Section 188 of the Companies Act 2013, the third proviso exempts RPTs that are both in the ordinary course of business AND at arm’s length from Section 188(1) entirely — board approval applies only to RPTs that fail either test; shareholder approval by ORDINARY resolution is additionally required once Rule 15(3) thresholds are crossed for such transactions (broadly 10% of turnover for goods/services, 10% of net worth for property, ₹2.5 lakh/month for office-of-profit appointments — see the RPT register template for the full threshold table, including the absolute rupee caps). A separate, higher "material RPT" concept with a special-resolution-style shareholder vote applies only to LISTED companies under SEBI LODR Regulation 23 — do not conflate the two regimes.
How does CARO 2020 treat related-party transactions?
CARO clause (xiii) requires the auditor to report whether all transactions with related parties comply with Section 177 (Audit Committee approval) and Section 188 (board/shareholder approval) and whether they are disclosed in the financial statements as per applicable accounting standards.
