Does this certificate alone get a company struck off?
No — Form STK-2 requires several supporting documents (indemnity bond, affidavit, statement of accounts, board/shareholder resolution) besides this certificate, and the Registrar of Companies independently verifies all Section 248 conditions, including whether the company falls into any of the categories barred from applying (e.g. a company that has changed its name, shifted registered office, or is under inspection/investigation in the preceding three months).
Can a company with pending litigation still apply for strike-off?
Generally no — pending litigation is one of the disqualifying conditions under Section 248. Disclose any pending matter honestly in this certificate rather than omitting it; a strike-off application filed while litigation is pending and undisclosed can be challenged and the company's name restored.
What financial statement does the "statement of accounts" requirement refer to?
A statement of accounts not older than 30 days from the date of application, certified by a Chartered Accountant, showing nil or negligible assets/liabilities — a separate document from this certificate, though this certificate is often prepared alongside it in the same engagement.
