Why is net worth computed at book value instead of market value?
Section 50B(2) specifically deems the net worth of the undertaking (not the actual fair value of its individual assets) as the cost of acquisition for capital gains purposes — this is a legislative fiction, not an approximation, so book value applies even where individual assets are worth materially more or less than book value.
Does indexation apply to reduce the capital gain, since slump sales are often long-term?
No — Section 50B explicitly overrides the indexation provisions of Section 48. Even where the undertaking qualifies as a long-term capital asset, the gain is computed as sale consideration less net worth, without any indexation adjustment to the net worth figure.
What makes a transaction a "slump sale" rather than an itemised asset sale?
A slump sale requires a transfer of one or more undertakings as a going concern for a lump-sum consideration, where the parties do NOT assign separate values to individual assets and liabilities in the transfer agreement (values assigned only for stamp duty or registration purposes don't disqualify it). If the agreement itemises consideration against individual assets, it's an itemised sale taxed under the ordinary capital gains/business income rules instead, with materially different consequences — get this characterisation right before relying on Sec 50B.
