What should a board resolution for opening a bank account contain?
Four things banks look for: (1) the resolution naming the bank, branch and type of account; (2) a signatory matrix — name, designation and mode of operation (singly / jointly) for each authorised signatory; (3) specimen signatures of the signatories, attested; and (4) a certified-true-copy footer signed by a director or the company secretary stating the resolution was passed at a Board meeting on a stated date, is recorded in the minutes book, and is in force. Most banks also want the CIN and registered office on the face of the copy.
Can the bank account resolution be passed by circulation instead of a meeting?
Yes. Opening a bank account is not among the items that must be transacted only at a Board meeting under Section 179(3) read with Rule 8 of the Companies (Meetings of Board and its Powers) Rules, 2014, so it can validly be passed by circulation under Section 175. In practice, many banks still prefer a resolution worded as passed "at a meeting of the Board", so check the bank's format first.
Who signs the certified true copy of a board resolution?
Any director or the company secretary can certify the copy. The certification states that the resolution is a true copy of what was passed, is duly recorded in the minutes book, and is in force (not rescinded or modified). Banks generally require the certifier's name, designation and DIN or membership number, with the company's rubber stamp.
Does a change in directors invalidate the bank signatory resolution?
No — the standard wording provides that the bank may act on the authority until it receives written revocation, notwithstanding any change in the constitution of the Board. But when a signatory himself resigns or is removed, pass a fresh resolution promptly: banks will keep honouring the old mandate until formally notified.
