Is this checklist a substitute for legal review of the trust deed?
No — this is an audit-perspective checklist that flags common succession and continuity gaps for the trustees' attention; it is not a legal opinion on the deed's validity or enforceability. Where a genuine gap or ambiguity is identified, the trustees should take it to their own legal counsel to actually amend the deed or resolve the ambiguity, rather than relying on this checklist's findings as the fix itself.
What happens if a trust deed doesn't specify how to appoint a new trustee?
In the absence of a clear deed mechanism, appointment typically falls back on the general law governing trusts (such as the Indian Trusts Act, 1882, for private trusts, to the extent applicable, or the relevant state's public trust/societies legislation for public/charitable trusts), which may allow the surviving trustees, the settlor (if living), or in some cases a court, to appoint a replacement — but this is slower, costlier and less certain than a deed that already specifies the mechanism, which is exactly the gap this checklist is meant to catch in advance.
Why does a charitable trust need a "continuity plan" at all if it is meant to run in perpetuity?
Precisely because a charitable trust is meant to outlive its founding trustees, the actual mechanics of transferring control between generations of trustees matter more, not less, than for a short-lived arrangement — a trust whose deed is silent on succession can find itself unable to validly constitute a board, open a bank account, or even prove who is authorised to act on its behalf, at exactly the moment continuity is most needed.
