Is a Section 8 company automatically exempt from income tax?
No. Section 8 registration under the Companies Act is a corporate-form licence, entirely separate from income-tax exemption. A Section 8 company must independently obtain 12A/12AB registration (and 80G if it wants donors to claim a deduction) to get income-tax exemption on its income — without that separate registration, its surplus is taxable like any other company's income despite the Section 8 licence.
Can a Section 8 company pay its directors or staff?
Yes — reasonable remuneration to directors, officers, or staff for actual services rendered is not a prohibited profit distribution. What Section 8(1)(b) prohibits is paying dividends to members and distributing profits as such. The line is reasonableness and genuineness of the service — excessive or undocumented payments to related persons are a common area regulators and auditors scrutinise as disguised distributions.
What happens to a Section 8 company's assets if its licence is revoked?
Revocation under Sec 8(6) does not automatically wind up the company, but the Registrar can direct it to convert its status, change its name (dropping the Section 8 privileges), or in serious cases apply for its winding up. Because a Section 8 company's objects clause typically also restricts what happens to residual assets on dissolution — usually transfer to a similar-objects entity, not distribution to members — that dissolution clause should be checked as part of this compliance review, not assumed.
