These Terms of Use ("Terms") govern your access to and use of the Coraa services provided by Cause Connect Pte. Ltd., a Singapore company located at 68 Circular Road, #02-01, 049422, Singapore ("Coraa", "we", or "us"). By using the services, you agree to these Terms.

1. The services

Coraa provides enterprise software to automate vendor onboarding and compliance workflows, including outreach, document collection, validations, approvals, and reporting across multiple communication channels.

2. Eligibility and accounts

  • You must have authority to bind your organization to these Terms.
  • You are responsible for your accounts and credentials and all activity under them.
  • You must provide accurate information and promptly update any changes.

3. Customer Data - ownership and license

  • You own all right, title, and interest in Customer Data.
  • You grant Coraa a limited license to host, process, transmit, and display Customer Data only to provide and maintain the services as instructed by you.
  • We do not use Customer Data to train any machine learning models.

4. Acceptable use

  • Do not violate law or third party rights.
  • Do not attempt to access the services or other accounts without authorization.
  • Do not upload malicious code or interfere with service operations.
  • Do not use the services to send unlawful, deceptive, or harassing communications.
  • When requesting outreach, you must have a lawful basis to contact the recipients and provide any required notices or consents.

5. Third party services

The services may interoperate with third party services that you choose to enable. We are not responsible for third party services and disclaim all liability arising from them. Your use of third party services is subject to their terms and privacy policies.

6. Confidentiality and security

Each party will protect the other's confidential information and use it only as permitted in these Terms. We implement technical and organizational measures designed to protect Customer Data, and we will notify you of security incidents as required by law.

7. Privacy

Our processing of personal data is described in our Privacy Policy. You are responsible for providing any required notices and obtaining necessary consents for processing Customer Data in the services. Data subject requests can be sent to privacy@coraa.ai.

8. Fees

If you purchase paid services, fees and payment terms will be set out in an order form or separate agreement. Unless stated otherwise, fees are non refundable and exclusive of taxes.

9. Warranties and disclaimers

  • We provide the services using reasonable skill and care.
  • Except as stated, the services are provided as is and as available, without warranties of any kind, express or implied.
  • We do not warrant that the services will be uninterrupted or error free.

10. Indemnification

  • You will defend and indemnify Coraa against claims and losses arising from Customer Data or your use of the services that violates law or these Terms.
  • Coraa will defend and indemnify you against third party claims that the services infringe intellectual property rights, subject to standard exclusions and your cooperation.

11. Limitation of liability

  • To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities.
  • Each party's total liability for all claims arising out of or relating to the services will not exceed the amounts paid or payable by you to Coraa for the services in the 12 months prior to the event giving rise to liability.

12. Term and termination

  • These Terms apply while you access or use the services.
  • We may suspend or terminate access for breach or risk of harm to the services or others.
  • Upon termination, you may request export and deletion of Customer Data, subject to legal retention requirements.

13. Governing law and venue

These Terms are governed by the laws of Singapore, without regard to conflict of laws rules. The courts of Singapore will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue in those courts.

15. Miscellaneous

  • Assignment - neither party may assign without consent, except to an affiliate or in connection with a merger or asset sale.
  • Severability - if any provision is unenforceable, the remainder will remain in effect.
  • Force majeure - neither party is liable for delays caused by events beyond reasonable control.
  • Entire agreement - these Terms along with any order form constitute the entire agreement for the services.
