This is to certify the Corporate Social Responsibility (CSR) spend of ___ (CIN: ___) for the financial year ___, against its CSR obligation under Section 135 of the Companies Act, 2013, based on the CSR committee's records, project sanction notes, and payment records produced before us and the information and explanations given to us.

CSR Spend for the Year

Where an unspent amount is shown above, we draw attention to the requirement under Section 135(5)/(6) of the Companies Act, 2013 to transfer such amount — to a fund specified in Schedule VII within six months of the end of the financial year for non-ongoing-project spend, or to a special "Unspent CSR Account" within thirty days of the end of the financial year for ongoing-project spend, to be utilised within three financial years.

What happens to the unspent CSR amount shown on this certificate?
Under Section 135(5)/(6) of the Companies Act, 2013, unspent CSR relating to a specific ongoing project must be transferred to a special "Unspent CSR Account" within 30 days of the financial year-end and utilised within 3 financial years; unspent CSR NOT relating to any ongoing project must instead be transferred to a fund specified in Schedule VII (e.g. PM National Relief Fund and similar) within 6 months of the financial year-end. Which route applies depends on whether the underlying project is "ongoing" as defined under the CSR Rules.
Is a CA certificate on CSR spend a statutory requirement?
There is no standalone statutory mandate for a separate CA certificate on CSR spend — the statutory auditor already comments on CSR compliance and any shortfall in the audit report (and CARO 2020, where applicable). This certificate is typically requested independently by the board, CSR committee, or where CSR funds are routed through implementing agencies that need third-party verification of utilization.
Should the CSR obligation figure be computed separately before using this certificate?
Yes — the obligation (2% of average net profit of the immediately preceding three financial years, computed per Sec 198) should be worked out first, e.g. using CORAA's CSR Section 135 Calculator, and entered as a given figure here. This certificate verifies spend against that obligation; it does not itself derive the obligation from the company's profit figures.
