What must a Directors' Report contain under Section 134(3)?
Section 134(3) prescribes the contents clause by clause: the web address of the annual return (s. 92(3)), number of board meetings, the directors' responsibility statement under s. 134(5), explanations on auditor qualifications, particulars of loans / guarantees / investments u/s 186, related-party contracts in Form AOC-2, the state of the company's affairs, transfers to reserves, dividend, material changes after year-end, conservation of energy / technology absorption / foreign exchange under Rule 8(3), risk management, and the CSR report where s. 135 applies. Rule 8(5) adds further disclosures such as deposits, directors' changes, internal financial controls adequacy and the POSH statement.
Can a small company or OPC file a shorter Directors' Report?
Yes. Rule 8A of the Companies (Accounts) Rules, 2014 (inserted in 2018) prescribes an abridged Board's Report for One Person Companies and small companies, limited to matters such as the annual return web link, board meetings, the responsibility statement, fraud reporting under s. 143(12), auditor-remark explanations, state of affairs, material changes, s. 186 particulars and AOC-2 contracts. A company that meets the small-company thresholds in s. 2(85) can use it instead of the full s. 134(3) format.
Is the directors' responsibility statement mandatory word-for-word?
The six limbs of s. 134(5) — accounting standards followed, consistent policies with prudent estimates, care for maintenance of accounting records, going concern basis, internal financial controls (for listed companies), and systems for legal compliance — must each be affirmed. Practice is to reproduce the statutory language essentially verbatim, since s. 134(8) penalises a non-compliant report; this template carries the full text with the listed-company limb marked.
Who signs the Directors' Report and where is it filed?
Under s. 134(6), the Board's Report is signed by the chairperson if authorised by the board, or otherwise by at least two directors one of whom shall be a managing director, or by the sole director of an OPC. It is attached to the financial statements filed with the ROC in e-form AOC-4 within 30 days of the AGM, and is laid before the members at the AGM.
