This is to certify, in connection with the ___ filing of ___ (PAN: ___) in respect of ___ involving ___, the pricing guideline compliance position, based on the valuation report, share application/transfer documents and books of account produced before us and the information and explanations given to us.

We certify that the issue/transfer price stated above is not less than the fair value determined as per ___ (for a non-resident-to-resident inbound transaction) or not more than the fair value so determined (for a resident-to-non-resident outbound transaction), consistent with the pricing guidelines under FEMA (Non-Debt Instruments) Rules, 2019, and that the transaction is reportable via ___ to the Reserve Bank of India through the Authorised Dealer bank within the prescribed timeline.

This certificate addresses pricing-guideline and reporting-form compliance only for the specific transaction described above. It does not certify the sectoral-cap or entry-route eligibility of the investment (which must be separately confirmed before the transaction is undertaken), nor does it address any income-tax withholding position — that is separately addressed under Form 15CB where applicable. How is this different from the FEMA compliance certificate already on this site?
The general FEMA compliance certificate confirms that the applicable RBI reporting form has been filed within the timeline. This certificate goes a step further for the specific FC-GPR/FC-TRS case — it certifies the pricing itself is compliant with FEMA's pricing guidelines, which is the substantive test those two forms exist to support.
Does this certificate replace the valuation report itself?
No. A separate valuation report (typically from a Category-I Merchant Banker or a Chartered Accountant, depending on the transaction) determines the fair value in the first place; this certificate confirms that the actual issue/transfer price complies with the pricing guideline relative to that valuation, not the valuation exercise itself.
Does the direction of the pricing test change between FC-GPR and FC-TRS?
Yes — for issue/transfer TO a non-resident, the price must not be less than fair value; for transfer FROM a non-resident to a resident, the price must not be more than fair value. State the direction of the transaction clearly so the correct test is applied.
