When is Form MBP-1 required to be given by a director?
Three occasions under Section 184(1): at the first Board meeting in which the person participates as a director; at the first Board meeting of every financial year; and, whenever there is any change in the disclosures already made, at the first Board meeting held after the change. The disclosure is in Form MBP-1 and covers the director's concern or interest in any company, body corporate, firm or other association of individuals, including shareholding.
What is Form DIR-8 and why is it taken along with MBP-1?
DIR-8 is the director's intimation under Section 164(2) read with Rule 14(1) of the Companies (Appointment and Qualification of Directors) Rules, 2014 that he or she is not disqualified — i.e. is not a director of a company that failed to file financial statements or annual returns for three continuous financial years, or that failed for a year or more to repay deposits or debentures or pay declared dividend. It is due before appointment or re-appointment; companies obtain it annually alongside MBP-1 at the first Board meeting of the financial year as standard practice, so the two travel as one pack.
Does a director with no interests still need to file MBP-1?
Yes, as a matter of settled practice — a NIL MBP-1 is given so the Board has a positive record that the director has nothing to disclose for the year. The form is not filed with the ROC; it is kept in the company's records, noted in the Board minutes, and preserved for eight years from the end of the financial year to which it relates (Rule 9(3)), in the custody of the company secretary or a person authorised by the Board.
What happens if a director fails to disclose interest under Section 184?
A contract or arrangement entered into without disclosure, or where the director participates in a public company despite being interested, is voidable at the option of the company (Section 184(3)). The defaulting director is liable to a penalty of ₹1 lakh (Section 184(4)) and, since acting while the office is vitiated can cascade into Section 167(1) vacation-of-office questions, the annual MBP-1 cycle is treated as a hard compliance item, not a formality.
