Many guides still say every director must file DIR-3 KYC by 30 September each year. According to several reports of the amendment, that changed in 2026: a person holding a DIN on 31 March of a financial year now files Form DIR-3 KYC Web once in every third consecutive financial year, on or before 30 June. Before you tell a client "the date has passed" or "it is due on 30 September", check which rule your DIN falls under.
Facts checked: 16 October 2026. We could not open the Gazette notification or MCA's own notice in this check. Everything below comes from secondary commentary that agrees on the main points, plus the scheduling note in our own ROC compliance calendar generator. Treat the instrument number and dates as to be confirmed against the MCA notification before you act on them.
What changed
| Before | From 31 March 2026 (as reported) | |
|---|---|---|
| How often | Every year | Once in every third consecutive financial year |
| Due date | 30 September | 30 June |
| Forms | DIR-3 KYC e-form and DIR-3 KYC Web | One unified Form DIR-3 KYC Web |
| Who | Every DIN holder (with the usual exceptions) | A director who holds a DIN on 31 March of the financial year |
The amendment is reported as notified through G.S.R. 943(E) dated 31 December 2025, amending the Companies (Appointment and Qualification of Directors) Rules, with effect from 31 March 2026.
What did not go away
- Changes still have to be reported. A change in a director's mobile number, email address or residential address is reported to MCA within 30 days, with the prescribed fee, as reported by the same sources.
- Non-filing still has a price. Reports describe DIN deactivation for non-filing, and a fee of ₹5,000 to reactivate. That is a flat fee, not a per-day amount.
- Draft forms were cancelled. Reports say any DIR-3 KYC form in draft, pending or pending-DSC status as on 31 March 2026 was marked cancelled, so a form started earlier has to be started again.
What we could not settle
- The first cycle. The reports we read give 30 June as the due date, but one source gives 30 September 2026 for the first cycle. Do not rely on either for a specific director until you have checked the DIN's status on the MCA portal.
- Which year each DIN falls in. Because the filing is once in three years, the year differs by DIN. We did not find a primary source that sets out how the first three-year cycle is counted.
What a CA firm should do now
- List every director in the client portfolio with their DIN status from the MCA portal, not from last year's tracker.
- Stop using the 30 September reminder for DIR-3 KYC unless the portal still shows a pending form.
- Add a 30-day trigger for a change of mobile, email or address, so the update is filed on time.
- Check deactivated DINs before any other filing. A deactivated DIN can hold up signing forms for the company. See our guide to ADT-1 for auditor appointment and the post-AGM filing checklist.
