What is the NOC format for the registered office of a company in 2026?
It is a signed statement from the owner (or authorized occupant) of the premises to the Registrar of Companies confirming who owns the premises, that there is no objection to the named company using it as its registered office, and on what terms — with proof of ownership and a recent utility bill enclosed. Rule 25(2)(c) of the Companies (Incorporation) Rules, 2014 calls it "the authorization from the owner or authorized occupant of the premises". No form number or fixed wording is prescribed, and the requirement is the same for filings in 2026.
How old can the utility bill be for registered office proof?
Not older than two months. Rule 25(2)(d) asks for proof of a utility service such as telephone, gas or electricity showing the address of the premises in the name of the owner, "which is not older than two months". The test is applied when the form is filed, so a bill that was current when the NOC was signed can go stale if the filing is delayed.
Is an NOC required if the company has a rent agreement for the office?
Yes, it is filed in addition. For rented premises the Registrar expects the notarised copy of the lease or rent agreement in the company's name with a rent receipt not older than one month, the owner's authorization with proof of ownership, and the utility bill. The NOC is dispensed with in practice only where the company itself owns the premises and files the registered title document.
Can a director's house be used as the registered office of a company?
Yes. The Companies Act does not require commercial premises — it requires an address capable of receiving and acknowledging communications and notices. Where the house belongs to the director or a family member, the owner signs this NOC and attaches proof of ownership and a utility bill in the owner's name. Housing-society bye-laws or local regulations may separately restrict commercial use, which is worth checking before the name board goes up.
Within how many days must INC-22 be filed?
Within 30 days of incorporation where the registered office was not verified in the incorporation application, and within 30 days of every later change of the registered office (Section 12(2) and 12(4)). A change outside the local limits of the city, town or village first needs a special resolution, and a change of State or of Registrar's jurisdiction needs further approvals before INC-22.
What is the penalty for not having or not verifying the registered office?
The company and every officer in default are liable to a penalty of ₹1,000 for every day the default continues, up to a maximum of ₹1 lakh (Section 12(8)). Separately, if the Registrar has reason to believe the company is not carrying on business, he can physically verify the registered office and, if the company is not found there, start the process of removing its name from the register.
