What is the DIR-2 format for consent to act as director in 2026?
Form DIR-2 is a one-page consent addressed to the company in which the proposed director consents to act under Section 152(5), certifies that he or she is not disqualified, gives twelve particulars (DIN, name, father's name, address, e-mail, mobile, PAN, occupation, date of birth, nationality, other directorships and KMP positions, and professional membership), and signs a declaration on past convictions and on the ceiling on directorships. The version in use in 2026 is the one substituted with effect from 1 June 2022, which added a declaration on security clearance from the Ministry of Home Affairs.
Is DIR-2 filed with the ROC?
Yes, but not on its own — the company files it as an attachment to e-form DIR-12 within 30 days of the appointment. Section 152(5) says a person appointed as director shall not act as such unless the consent has been given and filed with the Registrar within that time. For the first directors of a new company the consent goes with the incorporation application.
Should DIR-2 be dated before the date of appointment?
Yes — on or before it. Rule 8 of the Companies (Appointment and Qualification of Directors) Rules, 2014 requires the consent "on or before the appointment". The safe practice is to have the signed DIR-2 in hand before the Board or general meeting and to refer to it in the resolution.
What is the difference between DIR-2 and DIR-8?
DIR-2 is the consent to act as director under Section 152(5) and is filed with the Registrar through DIR-12. DIR-8 is the director's intimation to the company that he or she is not disqualified under Section 164(2); it stays in the company's records and is not filed unless it discloses a disqualification. An incoming director gives both, usually along with Form MBP-1.
Who needs Ministry of Home Affairs security clearance to become a director?
A person who is a national of a country that shares a land border with India. Since 1 June 2022, Rule 8 requires such a person to attach the security clearance from the Ministry of Home Affairs to the consent, and DIR-2 carries a declaration stating either that the clearance is not required or that it has been obtained and is attached. Everyone else retains the first alternative and strikes out the second.
How many directorships can a person hold when signing DIR-2?
Not more than twenty companies at the same time, of which not more than ten can be public companies (Section 165). The DIR-2 declaration that total directorships "shall not exceed the prescribed number" refers to this ceiling, which is why the form asks for the number of companies in which the person is already a director.
